Članak 1.

Značenje izraza sadržanih u Općim uvjetima

Pravi klik j.d.o.o. je trgovačko društvo registrirano za posredovanje u prometu nekretninama (u daljnjem tekstu: Posrednik).

Ovim Općim uvjetima ugovora reguliraju se obvezno-pravni i poslovni odnosi nastali povodom kupoprodaje nekretnina posredstvom Posrednika.

Općim uvjetima reguliraju se i ostali poslovni odnosi nastali povodom prometa Nekretnina iz Ponude Posrednika.

Dopušteno je isključenje svih ili samo nekih odredaba Općih uvjeta izričitom odredbom u posebnom ugovoru s Posrednikom.

Potpisnik ugovora o posredovanju s Posrednikom potpisom ugovora potvrđuje da su mu Opći uvjeti prezentirani, da je iste pročitao i razumio, te da će ih se u potpunosti pridržavati. Smatra se da su kupci nekretnina i prodavatelji nekretnina iz ponude Posrednika potpisom ugovora o posredovanju s Posrednikom upoznati sa odredbama Općih uvjeta.

Ovi Opći uvjeti smatraju se sastavnim dijelom ugovora koje je Posrednik pripremio, sklopio, kao i onih u kojima Posrednik posreduje između kupaca nekretnina i prodavatelja nekretnina, a nastalih povodom prometa nekretnina iz ponude Posrednika.

Za potrebe Općih uvjeta prometom Nekretnina osobito se smatraju: kupnja, prodaja, zakup, najam, ugovori o poslovno – tehničkoj suradnji. Prometom Nekretnina smatraju se i ostali ugovori čiji je izravni ili neizravni predmet Nekretnina iz Ponude Posrednika uključujući, ali ne ograničavajući se na ugovore o prijenosu poslovnih udjela.

Pojedini izrazi u smislu ovih Općih uvjeta imaju sljedeća značenja:

Posrednik u prometu nekretnina - Pravi klik j.d.o.o. sa sjedištem u Sinju, Glavice 568, OIB: 96561083715, koje trgovačko društvo ispunjava uvjete za obavljanje posredovanja u prometu nekretnina određene Zakonom o posredovanju u prometu nekretninama objavljenim u Narodnim novinama br. 107/07, 144/12, 14/14 (u daljnjem tekstu: Posrednik).
Agent posredovanja u prometu nekretnina – Dijana Uvanović sa prebivalištem u Brnazama, Brnaze 772, OIB: 34638234416, fizička je osoba koja je upisana u Imenik agenata posredovanja u prometu nekretnina i kao takva zaposlena kod Posrednika (u daljnjem tekstu: Agent).
Posredovanje u prometu nekretnina - radnje su posrednika u prometu nekretnina koje se tiču povezivanja nalogodavca i treće osobe, te pregovora i priprema za sklapanje pravnih poslova kojih je predmet određena nekretnina osobito pri kupnji, prodaji, zamjeni, najmu, zakupu i dr.
Nalogodavac - je fizička ili pravna osoba koja s posrednikom u prometu nekretnina sklapa pisani ugovor o posredovanju (prodavatelj, kupac, zakupnik, zakupodavac, najmodavac, najmoprimac i drugi mogući sudionici u prometu nekretnina – u daljnjem tekstu: Nalogodavac).
Treća osoba - je osoba koju posrednik u prometu nekretnina nastoji povezati s nalogodavcem radi pregovara o sklapanju pravnih poslova kojih je predmet određena nekretnina (u daljnjem tekstu: Treća osoba).
Posrednička naknada je iznos koji je Nalogodavac dužan isplatiti Posredniku za usluge posredovanja.
Opći uvjeti poslovanja posrednika u prometu nekretninama (u daljnjem tekstu: Opći uvjeti) uređuje se poslovni odnos između agencije za posredovanje u prometu nekretninama i fizičke i/ili pravne osobe koja sa Posrednikom sklopi Ugovor o posredovanju u prometu nekretnina.

Članak 2.

Ponuda nekretnina

Ponuda Posrednika temelji se na podacima zaprimljenim pisanim i/ili usmenim putem od vlasnika nekretnina koje se nude na prodaju, u zakup ili najam, kao i na podacima sadržanim u pisanim i/ili usmenim nalozima Nalogodavca.

Ponuda i/ili podaci o nekretninama se smatraju potvrđeni potpisivanjem Ugovora o posredovanju između Nalogodavca i Posrednika.

Posrednik zadržava mogućnost greške u opisu i/ili cijeni nekretnine te mogućnost da je oglašavana nekretnina već prodana i/ili iznajmljena i/ili je vlasnik nekretnine odustao od prodaje ponuđene nekretnine.

Posrednik nije odgovoran za greške i/ili izrazito nemarno ponašanje Nalogodavca.

Ponude Posrednika Nalogodavac mora čuvati kao poslovnu tajnu i samo ih uz pismeno odobrenje Posrednika smije prenijeti trećoj osobi.

Ako je Nalogodavac već upoznat sa nekretninama koje su mu ponuđene, obvezan je bez odgode obavijestiti Agenciju o tome pisanim putem (elektronička pošta, faks, preporučeno pismo i sl.)

Članak 3.

Ugovor o posredovanju u prometu nekretnina

Ugovorom o posredovanju u prometu nekretnina (u daljnjem tekstu: Ugovor) obvezuje se Posrednik da će nastojati naći i dovesti u vezu s Nalogodavcem Treću osobu radi pregovaranja i sklapanja određenoga pravnog posla o prijenosu ili osnivanju određenoga prava na nekretnini i/ili u vezi s nekretninom, a Nalogodavac se obvezuje da će mu isplatiti određenu posredničku naknadu (u daljnjem tekstu: Naknada) ako taj pravni posao bude sklopljen.

U Ugovoru o posredovanju moraju biti točno, istinito i potpuno naznačeni podaci o nekretnini za potrebe posredovanog posla.

Ako je nekretnina u suvlasništvu više osoba, potreban je pisani pristanak (punomoć) svih suvlasnika ili predstavnika svih suvlasnika nekretnine u vidu prihvaćanja Ugovora o posredovanju.

Članak 4.

Isključivo posredovanje

Ugovorom o isključivom posredovanju Nalogodavac se obvezuje da za posredovani posao neće angažirati nijednoga drugog posrednika.

Ako je za vrijeme trajanja Ugovora o isključivome posredovanju Nalogodavac sklopio mimo Posrednika pravni posao preko drugog posrednika, a za koji je isključivom Posredniku bio dan nalog za posredovanje, dužan je isključivom Posredniku platiti ugovorenu Naknadu kao i moguće dodatne stvarne troškove učinjene tijekom posredovanja za navedeni posredovani posao.

Prilikom zaključivanja ugovora o isključivome posredovanju Posrednik je dužan upozoriti Nalogodavca na značenje i pravne posljedice ugovorne klauzule iz prethodnog stavka.

Ugovor o isključivom posredovanju sklopljen na određeno vrijeme prestaje istekom roka na koji je sklopljen ako u tome roku nije sklopljen ugovor za koji je posredovano ili otkazom bilo koje od ugovornih strana.

U slučaju prestanka Ugovora o isključivom posredovanju iz razloga naznačenog u prethodnom stavku Nalogodavac je dužan naknaditi Posredniku učinjene troškove za koje je inače bilo izričito ugovoreno da ih Nalogodavac posebno plaća.

Ako u roku do 24 mjeseci nakon prestanka sklopljenog Ugovora o isključivom posredovanju Nalogodavac sklopi pravni posao koji je posljedica Posrednikova djelovanja prije prestanka Ugovora o isključivom posredovanju, dužan je Posredniku platiti Naknadu u cijelosti.

Članak 5.

Obveze Posrednika

Posrednik je obvezan prilikom posredovanja za sklapanje ugovora o kupoprodaji, ugovora o najmu ili ugovora o zakupu nekretnine obavljati osobito sljedeće:

nastojati naći i dovesti u vezu s Nalogodavcem osobu radi sklapanja posredovanoga posla,
upoznati Nalogodavca s prosječnom tržišnom cijenom slične nekretnine,
pribaviti i izvršiti uvid u isprave kojima se dokazuje vlasništvo ili drugo stvarno pravo na predmetnoj nekretnini,
obaviti potrebne radnje radi predstavljanja nekretnine na tržištu, oglasiti nekretninu na odgovarajući način te izvršiti sve druge radnje dogovorene ugovorom o posredovanju u prometu nekretninama koje prelaze uobičajenu prezentaciju, a za što ima pravo na posebne, unaprijed iskazane troškove,
omogućiti pregled nekretnina,
posredovati u pregovorima i nastojati da dođe do sklapanja ugovora, ako se na to posebno obvezao,
čuvati osobne podatke Nalogodavca te po pisanome nalogu Nalogodavca čuvati kao poslovnu tajnu podatke o nekretnini za koju posreduje ili u vezi s tom nekretninom ili s poslom za koji posreduje,
ako je predmet sklapanja ugovora zemljište, provjeriti namjenu predmetnog zemljišta u skladu s propisima o prostornome uređenju koji se odnose na to zemljište,
obavijestiti Nalogodavca o svim okolnostima važnim za namjeravani posao koje su mu poznate ili mu moraju biti poznate,
upoznati Nalogodavca s odredbama Zakona o sprječavanju pranja novca i financiranja terorizma (Narodne novine br. 87/08, 25/1, 108/2017).

Članak 6.

Obveze Nalogodavca

Sklapanjem Ugovora o posredovanju s Posrednikom Nalogodavac preuzima sljedeće obveze:

obavijestiti Posrednika o svim okolnostima koje su važne za obavljanje posredovanja i predočiti točne podatke o nekretnini te ako posjeduje dati Posredniku na uvid lokacijsku, građevnu, odnosno uporabnu dozvolu za nekretninu koja je predmet ugovora te dati na uvid Posredniku dokaze o ispunjavanju obveza prema Trećoj strani,
dati Posredniku na uvid isprave koje dokazuju njegovo vlasništvo na nekretnini, odnosno drugo stvarno pravo na nekretnini koja je predmet ugovora te upozoriti posrednika na sve uknjižene i neuknjižene terete koji postoje na nekretnini,
osigurati Posredniku i trećoj osobi zainteresiranoj za zaključivanje posredovanoga posla razgledanje nekretnine,
obavijestiti Posrednika o svim bitnim podacima o traženoj nekretnini što posebno uključuje opis nekretnine i cijenu,
nakon sklapanja predugovora, isplatiti Posredniku Naknadu,
naknaditi Posredniku troškove učinjene tijekom posredovanja koji prelaze uobičajene troškove posredovanja,
obavijestiti Posrednika pisanim putem o svim promjenama povezanim s poslom za koji je ovlastio posrednika, a posebno o promjenama povezanim s vlasništvom na nekretnini.

Nalogodavac nije dužan pristupiti pregovorima za sklapanje posredovanog posla s Trećom osobom koju je Posrednik našao, niti sklopiti pravni posao.

Nalogodavac će posredniku odgovarati za štetu, ako pri tom nije postupio u dobroj vjeri te je dužan nadoknaditi sve troškove učinjene tijekom posredovanja, koji ne mogu biti manji od 1/3 niti veći od ugovorene Naknade.

Nalogodavac će odgovarati za štetu ako je postupao prijevarno, ako je zatajio ili dao netočne podatke bitne za poslove posredovanja u cilju okončanja posredovanog posla.

Članak 7.

Posrednička naknada

Cijene nekretnina iskazane su u EUR, a plative su u protuvrijednosti kuna.

Visina posredničke naknade određuje se posredničkom tarifom odnosno ugovorom o posredovanju.

Posrednik ima pravo na posredničku naknadu i u slučaju da ona nije izričito ugovorena ugovorom o posredovanju.

Posrednik ima pravo na predujam posredničke naknade ako je on ugovoren.

Posredničku naknadu i sve troškove Nalogodavac je obvezan platiti na račun Posrednika u roku od 3 dana od ispostavljanja računa.

Na iznos posredničke naknade Posrednik će obračunati porez na dodanu vrijednost po zakonski propisanoj stopi.

Ugovorena posrednička naknada obuhvaća izvršenje svih radnji Posrednika navedenih u toč. VI. Općih uvjeta.

U slučaju obavljanja radnji koje nisu obuhvaćene toč. VI. Općih uvjeta na temelju zahtjeva Nalogodavca cijena posredničke satnice iznosi 350,00 kn.

U slučaju obavljanja radnji koje nisu obuhvaćene toč. VI. Općih uvjeta na temelju zahtjeva Nalogodavca isti je obvezan pored naknade za utrošenu posredničku satnicu Posredniku naknaditi i stvarne troškove obavljanja tih radnji.

U slučaju da sklopljeni pravni posao uključuje i sklapanje predugovora kojim su se Nalogodavac i Treća osoba obvezali sklopiti glavni ugovor u vezi s nekretninom koja je predmet posredovanja i kojim je predugovorom ugovorena isplata kapare i/ili dijela ugovorene kupoprodajne cijene prije sklapanja glavnog ugovora o kupoprodaji, kao I u svim ostalim slučajevima kad se kupoprodajna cijena isplaćuje u više obroka kroz određeno razdoblje, Nalogodavac se obvezuje naknadu za posredovanje isplatiti Posredniku razmjerno svakom pojedinom isplaćenom iznosu u ugovorenom postotku, koja naknada odnosno dio naknade dospijeva na isti dan isplate kapare i/ili (dijela) ugovorene kupoprodajne cijene.

U slučaju da sklopljeni pravni posao uključuje sklapanje predugovora kojim su se Nalogodavac i Treća osoba obvezali sklopiti glavni ugovor u vezi s nekretninom koja je predmet posredovanja, ali kojim nije ugovorena isplata kapare i/ili dijela ugovorene kupoprodajne cijene prije sklapanja glavnog ugovora o kupoprodaji, Nalogodavac se obvezuje naknadu za posredovanje isplatiti Posredniku na dan sklapanja glavnog ugovora, odnosno na dan isteka roka određenog predugovorom za sklapanje glavnog ugovora.

U slučaju da sklopljeni pravni posao uključuje isključivo sklapanje glavnog ugovora u vezi s nekretninom koja je predmet posredovanja, Nalogodavac se obvezuje naknadu za posredovanje isplatiti Posredniku na dan sklapanja ugovora o kupoprodaji.

Odustanak Nalogodavca ili Treće osobe s kojom je Nalogodavac sklopio predugovor u vezi s nekretninom koja je predmet posredovanja, kao niti odustanak Nalogodavca ili osobe s kojom je Nalogodavac sklopio ugovor u vezi s nekretninom koja je predmet posredovanja od ispunjenja sklopljenog ugovora, ne utječu na obvezu Nalogodavca da Posredniku plati naknadu za posredovanje u visini i na način utvrđen ovim člankom i sklopljenim ugovorom o posredovanju.

Nalogodavac je dužan platiti Naknadu i kad je s Trećom osobom, na koju mu je ukazao Posrednik i s kojom ga je Posrednik doveo u vezu, zaključio pravni posao različit od onoga za koji se posredovalo, a kojim se postiže ista svrha kao i posredovanim poslom ili predmet kojeg je pravnog posla nekretnina koja je predmet posredovanja.

Nakon prestanka Ugovora Posrednik ima pravo na naknadu u roku do 12 mjeseci i u slučajevima kad Nalogodavac sklopi s Trećom osobom pravni posao koji je posljedica posrednikova djelovanja prije prestanka Ugovora o posredovanju.

Ukoliko Nalogodavac odustane tijekom zaključivanja posredovanog posla (nakon što mu je Posrednik dostavio prihvatljivu ponudu) dužan je Posredniku isplatiti iznos ugovorene Naknade.

Posrednik ima pravo na Naknadu ako bračni, odnosno izvanbračni drug, potomak ili roditelj Nalogodavca; odnosno trgovačko društvo, ustanova ili druga pravna osoba koje je Nalogodavac, njegov bračni ili izvanbračni drug, potomak ili roditelj osnivač ili zakonski zastupnik, odnosno s kojom ima sklopljen ugovor o radu ili ugovor o djelu, zaključi posredovani pravni posao s osobom s kojom je Posrednik Nalogodavca doveo u vezu.

Članak 8.

Posrednička usluga

Smatra se da je Posrednik omogućio Nalogodavcu stupanje u vezu s Trećom osobom ako je:

neposredno odveo ili uputio Nalogodavca u razgledavanje predmetne nekretnine,
organizirao susret između Nalogodavca i Treće ugovorne osobe radi pregovaranja za sklapanje pravnog posla,
priopćio Nalogodavcu ime i prezime, odnosno tvrtku, broj telefona, telefaksa, e-mail adresu Treće osobe ovlaštene za sklapanje pravnog posla ili mu je priopćio točnu lokaciju tražene nekretnine,
omogućio Nalogodavcu kontakt sa trećom osobom na bilo koji drugi način koji ne ostavlja sumnju u identifikaciju ovlaštene osobe za pregovaranje i/ili sklapanje pravnog posla.

Članak 9.

Posrednička tarifa

Kupnja nekretnine % po dogovoru, minimalna naknada 2000,00 Eura, a plative su u protuvrijednosti kuna
Prodaja nekretnine % po dogovoru, minimalna naknada 2000,00 Eura, a plative su u protuvrijednosti kuna
Najam/zakup nekretnine do 5 godina 100% iznosa mjesečne najamnine
Najam/zakup nekretnine 5 godine i više 200% iznosa mjesečne najamnine
Posrednička satnica sa uključenim troškovima 260,00 kn
Procjena tržišne vrijednosti nekretnine po dogovoru
Ostale usluge Posrednika po dogovoru
- na cijene se obračunava PDV po zakonski propisanoj stopi
- troškove upravnih biljega i drugih pristojbi snosi Nalogodavac

Članak 10.

Trajanje ugovora i prestanak ugovora

Ugovor o posredovanju se sklapa na rok od 1(jedna) do 3 (tri) godine i prestaje istekom roka na koji je sklopljen, osim ako u tom roku nije sklopljen posao za koji se posredovalo.

Stranke mogu otkazati Ugovor o posredovanju i prije isteka roka na koji je Ugovor sklopljen iz osobito opravdanog razloga i to isključivo pisanim putem bilo koje od ugovornih strana.

Otkazni rok iznosi 8 (osam) dana od primitka otkaza.

Nalogodavac je dužan nadoknaditi Posredniku nastale troškove posredovanja.

Ako Ugovor o posredovanju prestane istekom vremena ugovorne strane nemaju jedna prema drugoj nikakvih potraživanja.

Ukoliko Nalogodavac sam sklopi pravni posao sa trećom osobom, dužan je u roku od 8 (osam) dana pismenim putem obavijestiti posrednika o prestanku obveze posredovanja odnosno o raskidu Ugovora o posredovanju. Nalogodavac je u slučaju iz stavka 5. i stavka 6. ovog članka dužan isplatiti Posredniku troškove posredovanja za koje je i inače bilo ugovoreno da ih Nalogodavac posebno plaća.

Nalogodavac će priznati posredovanje i nakon isteka Ugovora o posredovanju ukoliko je kontakt sa trećom osobom ostvaren tijekom trajanja Ugovora o posredovanju.

Ukoliko Nalogodavac sklopi pravi posao u roku ne dužem od vremena trajanja sklopljenog ugovora o posredovanju nakon prestanka tog Ugovora, a koji pravni posao je pretežno posljedica Posrednikovog djelovanja dužan je Posredniku platiti posredničku naknadu u cijelosti.

Članak 11.

Neovisnost odnosa Posrednika i drugih Ugovornih strana

6.1. Ukoliko Agencija istovremeno ima zaključen ugovor o posredovanju sa Kupcem i sa Prodavateljem u odnosu na istu nekretninu ili nekretnine, odnos Posrednika sa Kupcem će u cijelosti biti neovisan od odnosa Posrednika sa Prodavateljem i obratno. Posrednik će i u ovom slučaju nastupati krajnje profesionalno, poštujući prava i interese obiju strana.

6.2. Kupac, Prodavatelj i Posrednik će sadržaj međusobno zaključenih ugovora tretirati kao poslovnu tajnu i povjerljive podatke, sa obvezama i pažnjom kako je propisano odredbama ovih Općih uvjeta, uz zabranu da se sadržaj ugovora otkriva bilo kojoj trećoj osobi bez prethodne suglasnosti Posrednika.

Članak 12.

Postupak posredovanja pri kupoprodaji

7.1. Kupac je dužan prije bilo koje radnje poduzete od strane Posrednika, dostaviti Posredniku pisanu potvrdu interesa za neku od Nekretnina iz ponude.

7.2. Nakon toga Posrednik i Kupac će zaključiti ugovor o posredovanju, te će Posrednik omogućiti razgledavanje nekretnine i detaljnije upoznavanje sa svim pojedinostima vezanim za nekretninu i transakciju.

7.3. Prodavatelj je dužan prije bilo koje radnje poduzete od strane Posrednika, ispuniti Upitnik o nekretnini, učiniti Posredniku dostupnim sve podatke i isprave o nekretnini kao i pristup istoj radi izrade odgovarajućih promotivnih materijala.

7.4. Nakon toga Posrednik i Prodavatelj će zaključiti ugovor o posredovanju, te će Posrednik omogućiti adekvatno reklamiranje i promoviranje Nekretnine.

7.5. Posrednik će sudjelovati u pregovorima Kupca i Prodavatelja, nastojeći pritom zadovoljiti prava i interese obiju strana.

7.6. Ukoliko pregovori rezultiraju konsenzusom Kupca i Prodavatelja, pristupit će se zaključenju predugovora o kupoprodaji nekretnine (ili drugog oblika pravnog posla čiji je izravni ili neizravni predmet upravo Nekretnina). Isti učinak kao zaključenje predugovora ima i pisana obvezujuća ponuda Kupca u kojoj su izneseni uvjeti pod kojima je spreman zaključiti ugovor, a koja je prihvaćena od Prodavatelja.

7.7. Posrednik će dati strankama svu podršku potrebnu da se uvjeti potrebni za zaključenje ugovora ili realizaciju kupoprodaje ostvare u što kraćem roku.

Članak 13.

Tajnost podataka

8.1. Ovi Opći uvjeti obvezuju njihove adresate da prilikom ispunjenja svih preuzetih obveza postupaju u dobroj vjeri, sukladno načelu savjesnosti i poštenja, s dužnim standardom pažnje, te na suzdržavanje od bilo kojih postupaka i radnji kojima bi se drugima mogla nanijeti šteta.

8.2. Ovi Opći uvjeti obvezuju njihove adresate da se međusobno pravodobno obavještavaju o svim okolnostima vezanim za preuzete prava i obveze, poglavito o okolnostima potrebnim/od značaja za uredno ispunjenje preuzetih obvez

8.3. Svako kršenje odredbi ovih Općih uvjeta podrazumijeva obvezu naknade štete od strane koja je povrijedila njihove odredbe, spram onih strana koje su te iste odredbe poštivale i kojima je šteta nanesena.

8.4. Sva plaćanja po osnovi naknade štete poradi nepoštivanja odredbi ovih Općih uvjeta dospijevaju na naplatu bez odgode po počinjenju povrede odredbi od kojeg od adresata.

8.5. Adresati ovih Općih uvjeta prihvaćaju da će tijekom međusobne suradnje dobiti i steći informacije koje su vrijedne, povjerljive, nedostupne javnosti, i koje pripadaju drugim adresatima. Povjerljivi podaci bilo kojeg adresata koji će drugima biti otkriveni tijekom suradnje, koristiti će se isključivo za svrhu realizacije kupoprodaje nekretnine.

8.6. Izraz Povjerljivi podaci označava bilo koje saznanje i/ili informaciju koju bilo koji Adresat stekne ili s kojom bude upoznat putem pisane i usmene komunikacije tijekom međusobne suradnje, te isti uključuju, ali se ne ograničavaju na: sve informacije koje se odnose na Predmet poslovne suradnje, sve dokumente, poslovnu tajnu, opremu, planove, crteže, nacrte, rasporede, studije, specifikacije, tehničke podatke, baze podataka, bilo koji oblik programskih sustava (software), dokumentaciju, tehničke, tehnološke, statističke, financijske i trgovačke podatke i druge informacije, prepisku između Adresata ili druge poslovne ili tehničke podatke koje jedan Adresat otkriva drugom, s kojima bude upoznat ili ih na bilo koji način stekne od drugog Adresata ili bilo kojeg službenika, radnika ili predstavnika, za vrijeme trajanja suradnje, a koje imaju veze s njezinim poslovanjem.

8.7. Povjerljivim podatkom neće smatrati informacija: ako je već dostupna ili postane dostupna javnosti, osim u slučaju kada je to otkrivanje uzrokovano kršenjem odredaba ovih Općih uvjeta; koja je stečena od osobe koja je ovlaštena za otkrivanje Povjerljivih podataka; koja je bilo Adresatima bila poznata prije početka važenja ovih Općih uvjeta u odnosu na njih; koja je postala poznata bilo kojem Adresatu bez povrede odredaba ovih Općih uvjeta; ako je jedan Adresat dao prethodni pisani pristanak da se ista informacija može razotkriti.

8.8. Osim po prethodnom pisanom pristanku bilo kojeg Adresata ili na temelju zakonske ili regulatorne obveze, naloga ili zahtjeva izdanog od strane nadležnog suda ili regulatornog, sudskog, upravnog ili burzovnog tijela, drugi Adresati neće u bilo kojem razdoblju tijekom suradnje te u razdoblju od dvije godine nakon prestanka suradnje, neće objaviti, dati, proširiti, dobaviti, ili učiniti pristupačnima Povjerljive podatke bilo kome tko nije ovlaštena osoba Adresata.

8.9. U slučaju da je jedan Adresat obvezan na zahtjev mjerodavnog nadležnog tijela (sudskog, regulatornog, upravnog ili burzovnog) dostaviti ili omogućiti uvid u određene Povjerljive podatke, isti će bez odgode obavijestiti druge Adresate kako bi oni mogli zakonskim putem spriječiti otkrivanje Povjerljivih podataka.

8.10. Adresati će poduzeti sve potrebne mjere da ispune svoje obveze, te se obvezuju koristiti Povjerljive podatke na način utvrđen ovim Općim uvjetima i jamče da tržišnim takmacima drugih adresata, kao ni trećim osobama, pravnim ili fizičkim, neće Povjerljive podatke učiniti dostupnim na bilo koji način.

8.11. Adresati će rukovanje s Povjerljivim podacima povjeriti isključivo ovlaštenim osobama drugih Adresata, te će s Povjerljivim podacima rukovati s istim stupnjem pažnje koji primjenjuju na vlastite povjerljive podatke. Ovlaštenim osobama Adresata smatraju se: radnici Adresata kojima su Povjerljivi podaci potrebni tijekom suradnje pod uvjetom da navedene osobe budu u obvezi čuvati tajnost Povjerljivih podataka, zakonski zastupnici, opunomoćenici i odvjetnici Adresata strane koji su u zakonskoj obvezi čuvanja Povjerljivih podataka, banka ili bilo koja druga financijska institucija koja sudjeluje u financiranju i poslovanju Adresata, pod uvjetom da su ovlašteni predstavnici banke ili bilo koje druge financijske institucije prethodno potpisali izjavu ili sporazum o povjerljivosti sadržaja identičnog odredbama ovih Općih uvjeta, konzultanti i treće fizičke i/ili pravne osobe koje sudjeluju u Predmetu ugovora pod uvjetom da su prethodno potpisali izjavu ili sporazum o povjerljivosti sadržaja identičnog odredbama ovih Općih uvjeta.

8.12. Povjerljivi podaci ostaju čitavo vrijeme vlasništvo onog Adresata koji otkriva takve podatke. Bez pisane suglasnosti tog Adresata, drugi ne smiju mehanički ili elektronski kopirati ili na drugi način umnožavati Povjerljive podatke. Sve kopije moraju imati iste pripadajuće oznake povjerljivosti koje se nalaze na originalnim Povjerljivim podacima.

8.13. Adresati su obvezni u roku od trideset dana od dana primitka pisanog zahtjeva Adresata koji je učinio dostupnim Povjerljive podatke, kao i po prestanku poslovnog odnosa, izvršiti povrat svih Povjerljivih podataka, uključujući izvornike, preslike, svaki elektronski zapis i izvatke učinjene na bilo koji mogući način, dostavljenih za vrijeme trajanja poslovnog odnosa. Oni Povjerljivi podaci koji ne mogu biti vraćeni (kao što su prijenosnik podataka ili tvrdi-disk) bit će uništeni na zahtjev Adresata koji ih je učinio dostupnim i to najkasnije u roku od trideset dana od dana primitka pismenog zahtjeva.

Članak 14.

Završne odredbe

Pravi klik j.d.o.o. zadržava pravo ažuriranja ili izmjene Općih uvjeta poslovanja u bilo koje vrijeme bez prethodne obavijesti.

U slučaju spora proizašlog između ugovornih strana, a koji se ne bi mogao sporazumno riješiti, nadležan je stvarno nadležni sud u Splitu, osim ako se drugačije posebno ne ugovori.

Za sve što izričito nije utvrđeno ovim Općim uvjetima primjenjivat će se Zakon o posredovanju u prometu nekretnina, Zakon o obveznim odnosima te svi ostali pozitivni propisi Republike Hrvatske.

Article 1

Terms and names under this General Terms and Conditions

1.1. Pravi klik j.d.o.o. is a commercial company registered for brokerage of real estate properties (hereinafter: Broker).

This General Terms and Conditions regulate contractual and legal relations as well as business relations arisen from the buying and selling of real estate properties through a Broker. General Terms and Conditions regulate all other business relationships arisen from the buying and selling of real estate properties from the Broker's offer.

An exclusion of all or some provisions of the General Terms and Conditions is allowed by an explicit provision specially agreed with the Broker.

By signing the Bokerage Agreement, the Principal achnowldges that he is familiar with the provisions of the General Terms and Conditions, that he has fully read and understood the content and shall fully respect them. By signing the Brokerage Agreement with the Broker it is considered that the property buyers and sellers are familiar with the provisions of the General Terms and Conditions.

These General Terms and Conditions are considerd to be an integral part of agreements prepared and concluded by the Broker as well as of those agreements where the Broker mediates between real estate propery sellers and buyers, arising from the real estate brokerage activities from the Broker's offer.

For the purpose of these General Terms and Conditions the real estate brokerage activites are in particular: buying, selling, lease, rental, agreements on business and technical cooperation. Real estate brokerage activities include also other agreements whose direct or indirect subject is the real etate property from the Broker's offer, including but not limited to contracts on the transfer of shares.

1.2. Terms and names under these General terms and Conditions have the following meaning:

Real Estate Brokerage Agency - Pravi klik j.d.o.o. with its registered office in Sinj, Glavice 568, OIB: 96561083715, licensed and authorized agency that meets all the requirements for real estate Brokerage prescribed by the Real Estate Brokerage Act published in the official gazette "Narodne novine" No. 107/07, 144/12, 14/14 (hereinafter: Broker).
Real estate Agent – Dijana Uvanović resident in Brnaze, Brnaze 772, OIB: 34638234416, a private person, licensed agent registered in Real Estate Agent Directory and as such employed at the Real Estate Brokerage Agency (hereinafter: Agent).
Real estate Brokerage - actions the Agency undertakes in order to liaise between the Principal and the third party, as well as negotiations and preparations for closing legal deals concerning the purchase, sale, rental, etc. of a property.

Principal - a person or company with whom the Broker is concluding the written real estate Brokerage agreement (seller, buyer, lessor, lessee and any other parties to a property ownership transfer – hereinafter: Principal).

Third Party - a person whom the real estate Broker seeks to introduce to the Principal in order to negotiate a legal transaction regarding a particular property (hereinafter: Third Party).
Commision is the amount which the Principal is obliged to pay to the Broker for brokerage services.
General Terms and Conditions of real estate Brokerage (hereinafter: General Terms and Conditions) regulate the business relationship between the Real Estate Agency and a private person and/or legal entity who enters into a written agreement with the Broker.

Article 2

Property offer

The property offer is based on the information received in writing and/or orally from the owner of the real estate on sale, lease or rental as well as on the information received in writing and/or orally from the Principal.

The offer and/or information on real estate properties are considered as confirmed by signing the Brokerage Agreement between the Principal and the Broker.

The Broker reserves the possibility of errors in descriptions and/or price of the property as well as the possibility that the advertised property is already sold and/or rented or that the owner has decided to withdraw the property for sale.

The Broker is not responsible for any errors and/or negligent behaviour by the Principal.

The Principal must keep the property offers made by the Broker strictly confidential and may only be transferred to a third party upon the prior written approval of the Broker.

If the Principal is already familiar with the offered properties, he is obliged to inform the Agency about it in written without any delay (e-mail, fax, registered letter, etc.).

Article 3

Real Estate Brokerage Agreement

By signing the Real Estate Brokerage Agreement (hereinafter: Agreement) the Broker is obliged to find and connect the Principal with a third Party to enter into sales agreement with him and the Principal is obliged to pay to the Broker the agreed fee (hereinafter: commission) if this agreement is concluded.

The Real Estate Brokerage Agreement must contain true, correct and complete information on the property for the brokerage purposes.

When the property is co-owned by two or more people a written consent (power of attorney) of the Real Estate Brokerage Agreement by all co-owners is needed.

Article 4

Exclusive brokerage

With an Exclusive Brokerage Agreement the Principal is obliged not to engage any other Broker.

Should the Principal during the dutaion of the Exclusive Brokerage Agreement conclude a legal affair through another Broker without the knowledge of the exclusive Broker, he is obliged to pay the agreed commission as well as all possible additional actual costs having arisen during the brokerage activity for the stated brokerage deal.

On signing the Exclusive Brokerage Agreement the Broker is obliged to notify the Principal of the meaning and legal consequences of the contractual clause form the previous paragraph.

The Exclusive Brokerage Agreement concluded for a definite period of time ends with the expiry of its period of validity if within such period no agreement is concluded for which brokerage acitivities have been performed or by termination initiated by one of the parties.

In the event of termination of the Exclusive Brokerage Agremeent for the aforementioned reason the Principal is obliged to reimburse the incurred costs for which were otherwise agreed to be paid separately by the Principal.

If within 24 months after termination of the Exclusive Brokerage Agreement the Principal enters into an agreement which is a result of the Broker's activity prior to the expiration of the Exclusive Brokerage Agreement, the Principal is obliged to pay the total amount of the Broker's commissission.

Article 5

Broker's obligations

With the real estate purchase, sale, lease or rent Agreement the Broker undertakes to carry out the following:

try to find and bring into contact with the Principal a third party to conclude the brokerage deal,
to inform the Principal about market price of the property,
inspect all available documentation proving the ownership or other rights to the concerned real estate property,
to perform all actions regarding presentation of the real estate property on the market, to advertise the property adequately and perform all other actions agreed by the Real Estate Brokerage Agreement exceeding the standard presentation and for which he is entitled to separate costs identified in advance,
organize property viewings,
participate in negotiations and endeavour to close a sale/purchase agreement, if he has made a personal commitment to this,
keep personal data of the Principal as well as information on the subject property and the Agreement the Broker has as a business secret if this is required by the Principal in writing,
if the subject property is land, check the purpose of the subject plot according to the regulations on spatial planning regarding this plot,
to inform the Principal on all circumstances relevant for the intended deal known to him or must be known to him,
to inform the Principal on the provisions of the Act on Prevention of Money Laundering and Terrorism Financing (Official Gazette "Narodne novine" No. 87/08, 25/1, 108/2017).

Article 6

Principal's obligations

With the Brokerage Agreement the Principal undertakes to carry out the following:

to inform the Broker of all circumstances that are important for the conduct of brokerage, to present the correct and true information about the property and give the insight into the location, building and usage permit as well as proof of having fulfilled all obligations towards the Third Party,
to give the Broker present documents confirming his ownership of the property or other real rights on the property that is the subject of the Agreement and alert the Broker to all registered and unregistered burdens on the property,

to provide property viewings to the Broker and the Third Party interested in the property,
to provide the Broker with relevant information on the property, especially including the description and price of the property,
pay the agreed brokerage fee to the Broker upon the conclusion of the preliminary purchase/sales agreement,
cover any costs exceeding standard brokerage services,
inform the Broker of any changes associated with the subject property, especially the changes in the ownership over the property.

The Principal is not obliged to enter into negotiations or close a deal with a third person brought to him by the Broker.

The Principal shall be responsible for any damage occurred as a result of failing to act in good faith and is to compensate for the costs occurred during the Brokerage. These costs must not go beyond the one third (1/3) of the real estate brokerage commission or not exceed it.

The Principal shall be responsible for any damage if he has acted fraudulent, withheld information or has been given false information relevant for the intended deal.

Article 7

Brokerage commission

The real estate prices are expressed in Euros and are payable in the national currency equivalent.

The amount of the brokerage commission is determined in the Brokerage agreement.

The Broker is entitled to a brokerage commission even it has not been explicitely agreed upon in the Brokerage agreement.

The Broker is entitled to the advance payment of the commission if it has been agreed upon.

The commission and all costs are to be paid by the Principal on the account of the Broker within 3 days from the date of invoice.

The Broker will charge the statutory VAT rate on the amount of the compensation.

The agreed brokerage commission includes the performance of all brokerage activities as stated in Point VI. of the General Terms and Conditions.

In case of performance of activities which are not indicated in Point VI. of the General Terms and Conditions, the brokerage hourly rate amounts to 350,00 HRK.

In case of performance of activities which are not indicated in Point VI. of the General Terms and Conditions, upon request of the Principal, the Principal is in addition to the brokerage hourly rate obliged to pay the actual costs of performing these activities as well.

In the event that the entered legal transaction includes the conclusion of a preliminary agreement by which the Principal and the third party have obliged themselves to enter into main agreement regarding the real estate which is the subject of brokerage and by which the deposit payment and/or a part of the purchase price is agreed before the conclusion of the main purchase agreement, like in all other cases when the purchase price is paid in more than one instalments over a certain period, the Principal is obliged to pay the broker's commission in proportion to the each paid amount in the agreed percentage which is payable on the same day as the day on which the deposit and /or (a part of) the purchase price is paid.

In the event that the entered legal transaction includes the conclusion of a preliminary agreement by which the Principal and the third party have obliged themselves to enter into main agreement regarding the real estate which is the subject of brokerage and contract by which the deposit payment and/or a part of the purchase price is not agreed before the conclusion of the main purchase agreement, the Principal is obliged to pay the brokerage commission on the day on which the agreement is concluded, respectively on the day of expiry of the deadline for the conclusion of the main agreement agreed in the preliminary agreement .

In the event that the entered legal transaction includes exclusively the conclusion of the main agreement regarding the subject of brokerage, The Principal is obliged to pay the brokerage commission on the day on the conclusion of the purchase/sale agreement.

The withdrawal of the Principal or the Third Party with whom the Principal has concluded a preliminary agreement regarding the real estate property which is the subject of brokerage, as well as the withdrawal of the Principal or person with whom the Principal has concluded the agreement regarding the real estate property which is the subject of brokerage from the completion of the agreement does not affect the Principal's obligation to pay the commission to the Broker in the amount and way prescribed by this article and the concluded Brokerage Agreement.

The Principal is obliged to pay the commission also in the case when he has concluded a legal transaction with a third party brought into contact with the Principal by the Broker, even if such legal transaction is different form the initial legal transaction, is but of the same value as the initial legal transaction, i.e. accomplishing the same purpose as the broked legal transaction.

The Broker is entitled to the commision within 12 months also in the case when the Principal concludes a legal transaction with a third party whom the Broker brought into contact with the Principal which is prevlently a result of the Broker's action priot to the expiration of the brokerage agreement.

Should the Principal withdraw during the closure of the brokerage deal (after receiving an acceptable offer from the Brokertavio prihvatljivu ponudu) is he obliged to pay the amount of the agreed commission.

The Broker is entiteld to rumeneration if a spouse, partner, descendant or parent of the Principal; or a company, instutution or any other legal entity whose founder or legal representative is the broker, his spouse, partner, descendent or parent with whom he has contracted or has concluded an employment or service contract, concludes brokered legal transaction with a party whom the Broker's agency brought into contact with the Principal.

Article 8

Brokerage services

The Broker shall be deemed to have enabled the Principle to contact a third party if he has:

directy taken or sent the Principal on a tour of the real estate in question,
arranged for a meeting between the Principal and another contracting party to negotiate the respective business transaction,
provided the Principle with the name, phone number, fax number, e-mail address of the other party authorized to conclude a real estate agreement, or given him the exact location of the sought real estate,
enabled the Principle to contact a third party in any other way leaving no doubt about the identification of the person authorized to negotitions nad/or closing a business transaction.

Article 9

Article 10

Duration and termination of the Agreement

The Brokerage Agreement is concluded for a definite period of 1(one) to 3 (three) years and ends with the expiry ot its period of validity if within such period no agreement is concluded for which brokerage activities have been performed.

Each Party may cancel the Brokerage Agreement before the expiration of the stipulated period for objectively justified reasons exclusively in writing.

The notice period shall be 8 (eight) days from the day the notice was received.

The Principal is obliged to compensate for the costs incurred during the brokerage activity.

If the Brokerage Agreement ends due to expiry of its perid od validity, the parties have no claims from each other.

Should the Principal as an independent party conclude a legal transaction with a Third Party, he is obliged to inform the Broker in writing within 8 (eight) days about the termination of the brokerage services obligation, respectively about the termination of the Brokerage Agreement. In cases specified in Paragraph 5 and 6 of this Article the Principal is obliged to pay the commission which is otherwise agreed to be paid separately by the Principal.

The Principall shall recognise the brokerage activity even after expiry of the agreement if the contact with the third party was established during the period of duration of the Brokerage Agreement.

If within a period no longer than the period of duration of the concluded Brokerage Agreement following the expiry of this Agreement, the Principle concludes a business transaction which is prevalently a result of the Broker's action prior to the expiration of the Brokerage Agreement, the Principal is obliged to pay the entire amount of the Broker's commission.

Article 11

Independent contractor relationship

6.1. If the Agency has concluded a Brokerage Agreement with the Buyer and Seller at the same time regarding the same real estate property or properties, the relationship between the Principal and the Buyer shall be interely independent from the relationship between the Broker and Buyer and vice versa. The Broker will in this case also act extremely professional, respecting rights and interests of both sides.

6.2. The Buyer, Seller and Broker shall consider the content of their mutual concluded agreements as business secret, with obligations and care prescribed in the provisions of these General Terms and Conditions. The content of these agreements shall not be disclosed to any other party without prior consent from the Broker.

Article 12

Brokerage procedures of buying and selling

7.1. Prior to any activity the Broker should undertake, the Buyer is obliged to deliver a written confirmation of interest in some of the real estate properties from the offer.

7.2. Then, the Broker and the Buyer shall enter into a Brokerage Agreement and the Broker will enable a real estate tour and make the Buyer familiar with all details regarding the property and transaction.

7.3. Prior to any activity the Broker should undertake, the Buyer is obliged to complete a questionnaire on the real estate property, to provide the Broker all data and documents regarding the property as well as enable access to them for the purpose of production of promotion material.

7.4. Aterwards, the Broker and the Buyer shall enter into a Brokerage Agreement and the Broker shall enable appropriate advertising and promotion of the property.

7.5. The Broker shall particiate in negotiations between the Buyer and the Seller, endeavouring to satisfy rights and interests of both sides.

7.6. If negotiations result in a consensus between the Buyer and the Seller, a preliminary purchase/sales agreement shall be concluded (or any other type of agreement whose direct or indirect subject is the property concerned). The same effect as the conlusion of a preliminary agreement has a written binding offer of the Buyer which contains terms under which he is prepared to conclude an agreement and which offer is accepted by the Seller.

7.7. The Broker shall provide all assistance to the parties necessary for fulfillment of the requirements for the conclusion of an agreement or realization of a purchase/sales agreement in the shortest time possible.

Article 13

Confidentiality of information

8.1. These General Terms and Conditions bind its addressees during the fulfillment of their contractual obligations to act in good faith in accordance with the Principle of Good Faith with due care and refrain from any procedures and acts that can cause harm to others.

8.2. These General Terms and Conditions bind its addressees to inform each other in due time about all circumstances regarding the contractual rights and obligations, especially regarding circumstances necessary/important for the proper performance of contractual obligations.

8.3. Each breach of the provisions of these General Terms and Conditions implies an obligation to damage compensation by a party who has breached its provisions against other parties which have respected those provisions and have suffered damage.

8.4. All damage compensations due to breach of the provisions of these General Terms and Conditions are payable after breach without delay.

8.5. The addressees of these General Terms and Conditions aknowledge that during their cooperation they will receive and gain information which are valuable, confidential, inaccessible for the public and belong to other addressees. Confidential information of any addressee disclosed to other during the period of cooperation shall be exclusively used for the purpose of realization of the purchase/selling contract.

8.6. The term Confidential Information means any knowledge and/or information received or become familiar with by the addressee in writing or orally during the period of cooperation and shall include, but is not limited to: all information regarding the subject of the cooperation, all documents, business secrets, equipment, plans, drawings, schedules, studies, specifications, technical information, databases, any form of computer software, documentation, technical, statistical, financial and trade data and other information, correspondence between addressees and other business or tehnical information disclosed between the parties which an addressee becomes familiar with or receives in any way from other addressees or any official, worker or representative during the period of cooperation, relate to the business activity.

8.7. Confidential information shall not include information which: is in or comes into public, except in case when this disclosure is caused by breach of these General Terms and Conditions; is received by a person authorized to disclose confidential information; was known to addressees before the date of commencement of the period of validity of these General Terms and Conditions in relation to them; became known to any addressee without breach of the provisins of these General Terms and Conditions; if an addresse has provided a prior written consent to disclosure of this information.

8.8. Except upon prior written consent of any addressee or upon a legal or regulatory obligation, order or request by a competent court or a juridicial, regulatory, governing ot stock echange authority, other addressees shall not in any period during the cooperation and within a period of two years after termination of the cooperation publish, give, spread, acquire or make available confidential information to any person who is not a authorized person of the addressee.

8.9. If upon request of a relevant competent authority (judicial, regulatory, governing or stock exchange) an Addressee is obliged to deliver or enable an insight into certain confidential information, he shall without delay inform other addressees so that they can prevent disclosure of confidential information by lawfull means.

8.10. Addressees shall take all necessary measures to fulfil their obligations and are obliged to use confidential information in the way prescribed in these General Terms and Conditions and guarantee not to make this information available in any way to other addressees and third persons, natural or legal.

8.11. Handling of the confidential information addressees shall entrust only to authorized persons of other addressees and they shall handle the confidential information with the same level of attention applied when handling their own confidential information. As authorized persons of addressees should be considered: employees of Addressees who need the confidential information during the cooperation, provided that the persons concerned shall keep the confidentiality of the information, legal representatives, authorized persons and attorneys at law of the Addressees with a legal obligation of keeping the confidentiality, bank or any other financial institution which participates in financing and business activities of the Addressee, provided that the authorized representatives of the bank or any other financial institution have prior signed a statement or agreement of confidentiality identical to the provisions of these General Terms and Conditions, consultants and third natural and/or legal persons who participate in the subject of the agreement, provided that they have prior signed a statement or agreement of confidentiality identical to the provisions of these General Terms and Conditions.

8.12. All confidential information remain the whole time the property of the disclosing addressee. Without his written consent, others may not make any copy of confidential information by mechanical, electronic or any other means. All copies shall bear the classification confidential, which can be found on the original confidential information.

8.13. Addressees are obliged within thirty days following receipt of the written request of the disclosing addressee as well as following the termination of the business relationship, to return all confidential information including originals, copies, every electronic data record and extracts made in any posible way and delivered during the period of cooperation. Confidential information which can not be returned (such as hard-disk) shall be destroyed upon request of the disclosing addressee within 30 days after receipt of a written request.

Article 14

Final provisions

Pravi klik j.d.o.o. reserves the right to update or change the General Terms and Conditions at any time without prior notice.

In the event of a dispute arising between the Contracting Parties which could not be solved by mutual agreement, the court in Split is competent, unless otherwise specially agreed.

The relations which are not regulated by these General Terms and Conditions shall be governed by the provisions of the Real Estate Brokerage Act, Civil Obligations Act and substantive law of the Republic of Croatia.
